BY USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. This is a license agreement (the "Agreement") between you and Digia Plc. ("Digia"). IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT USE THE SOFTWARE PROGRAM AND THE USER MANUAL (COLLECTIVELY, THE "SOFTWARE") AND RETURN THE SOFTWARE WITHIN 30 DAYS FROM THE DATE OF PURCHASE TO YOUR POINT OF PURCHASE. In consideration of the right to use the Software, you agree to abide by the terms and conditions of this Agreement. 1. LICENSE: Digia grants you the non-exclusive right to install and use one copy of the Software on a single computer, device, workstation, terminal, or other digital electronic device. YOU SHALL NOT ASSIGN, SUBLICENSE, RENT, LEASE, LOAN, CONVEY OR OTHERWISE USE, TRANSFER, COPY, TRANSLATE, CONVERT TO ANOTHER PROGRAMMING LANGUAGE, ALTER, MODIFY, DECOMPILE OR DISASSEMBLE THE SOFTWARE, IN WHOLE OR IN PART, EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT. For avoidance of doubt, you may not: (1) Distribute, rent, lease, loan, or resell the Software or any copy of it; (2) Reverse engineer, decompile, disassemble, analyse or otherwise examine or attempt to expose the code of the software in the Software; (3) Modify, adapt, translate or create derivative works based on the Software or any part thereof; (4) Remove, obliterate, deface or in way alter the notice of Digia’s or third parties’ proprietary rights related to the Software; (5) Grant sublicenses to the Software nor assign any rights or obligations under this Agreement to a third party or otherwise dispose of or deal with those rights or obligations. 2. LIMITED WARRANTY AND LIMITATION OF LIABILITY: It is your responsibility to choose, maintain and match the hardware and software components of your computer system. Thus Digia does not guarantee uninterrupted service or correction of errors or that the functions or performance of the SOFTWARE will meet your requirements. THE SOFTWARE IS LICENSED ON AN "AS IS" BASIS AND WITHOUT WARRANTY OF ANY KIND. EXCEPT AS SPECIFICALLY SET FORTH IN THIS CLAUSE 2, DIGIA, DIG'S SS SUBSIDIARIES, DISTRIBUTORS AND DEALERSDISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SOFTWARE. NEITHER DIGIA NOR ANY OF DIGIA'S SUBSIDIARIES, DISTRIBUTORS OR DEALERS IS LIABLE FOR ANY DAMAGES HOWSOEVER CAUSED, INCLUDING WITHOUT LIMITATION, DIRECT, CONSEQUENTIAL OR INCIDENTAL LOSS OR DAMAGE INCLUDING LOSS OF PROFITS, EXPENSE OR INCONVENIENCE HOWSOEVER CAUSED OR ARISING OUT OF THE SOFTWARE OR THE USE THEREOF. In no event shall Digia, its affiliates, its employees or licensors be liable for any lost data or cost or procurement of substitute goods or services, property damage, personal injury or for any special direct, indirect, incidental, economic, cover, punitive, special, or consequential damages however caused and whether arising out of the use of the Software, even if Licensor or its licensors are advised of the possibility of such damage. Both Parties will use their reasonable endeavours to mitigate their loss suffered. This software uses publicly available access API to YouTube service. Neither Digia nor YouTube warrants that the service is available through this software. The YouTube API and API Specifications are intellectual property and proprietary information of YouTube. By using the YouTube service via this software you accept the terms and conditions of the service as they are stated by YouTube. NEITHER DIGIA, NOR ANY OF DIGIA'S SUBSIDIARIES, DISTRIBUTORS OR DEALERS SHALL HAVE ANY OBLIGATION TO INDEMNIFY YOU AGAINST ANY CLAIM OR SUIT BROUGHT BY A THIRD PARTY ALLEGING THAT THE SOFTWARE OR THE USE THEREOF INFRINGES ANY INTELLECTUAL PROPERTY OF SUCH THIRD PARTY. 3. TERM: This Agreement is effective upon your using the Software and remains in effect as long as the Software is used. You may terminate this Agreement by destroying the Software. This Agreement will also terminate without notice to you if you fail to comply with any of the terms of this Agreement and you must then promptly return the Software. In addition, Digia may enforce its other legal rights. 4. SEVERABILITY: In the event that any provision of this Agreement is declared or found to be illegal by any court or tribunal of competent jurisdiction, such provision shall be null and void with respect to the jurisdiction of that court or tribunal and all the remaining provisions of this Agreement shall remain in full force and effect. 5. CONTROLLING LAW: This Agreement shall be governed by the laws of Finland. Any dispute or controversy or claim arising out of or relating to this Agreement involving the parties, which is not settled after the parties' attempt at amicable negotiation shall be resolved by District Court of Helsinki.
