<p>Hello Community,<br /><br /> The main part of this post is simplified to a few sentences. If you want  more details, you can read the "footnotes" below.<br /><br /> As many of you are aware, the Hildon Foundation Board of Directors has  come to be filled with all unelected Directors. [1]<br /><br /> There has been some significant desire to have a reelection take place  once the infrastructure migration issues were settled. [2]<br /><br /> Those infrastructure issues are now essentially settled - we are running  on our own servers (not the interim Nemein hosting), and our volunteer  techstaff maintains essentially all of *maemo.org. [3]<br /><br /> The Hildon Foundation Council has the authority to call for the  elections of both the Council and the Board of Directors, if there is  unanimous agreement by all members on the Council. [4]<br /><br /> It is the position of this Council, that this Council was always  intended to count as the Hildon Foundation Council. And thus we have the  authority to trigger both elections simultaneously. [5]<br /><br /> Furthermore, even besides this point, a careful consideration of the  Bylaws and the timings of the resignations and appointments of Directors  from the Board, indicates that an election should have already been  triggered by the Bylaws themselves. [6]<br /><br /> Having taken all of the above into consideration, we find that the  desires and wellbeing of the Community is best served by us calling for  the election of both the Council and the Board [7]. We have waited until  the last possible moment in our term to call for this election of both  bodies, to give the Board a chance to get everything done within a  reasonable timeframe and then call for an election in accordance to the  intended democratic spirit of our Hildon Foundation on their own.<br /><br /> Thus, we hereby announce the elections for both the Hildon Foundation  Board and the Council.<br /><br /> Election nominations are now open! Please send nominations to the  mailing list <a href="mailto:maemo-community@maemo.org">maemo-community@maemo.org</a> . Do not be afraid to nominate yourself or those you think are suitable  for the positions. There is, however, a modifying circumstance: *.maemo.org account  registration and login has been broken for months, until recently;  furthermore, karma is /still/ broken, with a significant number of  members missing a significant amouht of karma.<br /><br /> We will manually calculate karma for candidates, so the restrictions on  candidates are the same as they have been. However, we think it is  infeasible to manually count the karma for every user who might be  eligible to vote. So unless there is a serious volunteer effort to  calculate everyone's karma by hand, we will treat all maemo.org accounts  older than 3 months as eligible for this election only (if it comes to  pass that karma is still broken by the next election cycle, it will be  up to that Board/Council, and the Community then, to sort out what to  do.)<br /><br /> If people with newer accounts think they ought to be eligible to vote  (for example, you would have registered earlier but it was impossible to  do so at the time because the system was broken), please contact the  Council by either responding to this message or, preferably, by emailing  <a href="mailto:council@maemo.org">council@maemo.org</a>. (Please note,  while we will try to process requests for eligibility inclusions as  late as possible, we can only realistically guarantee that we'll manage  to do it if you get it in a week before the vote for the referendum  takes place - so before the 15th of this month.)<br /><br /> - Footnotes -<br /><br /> [1] All three of the original Directors left over time. Texrat/Randall  had to depart early on, and Rob (originally in the non-director position  of legal adviser) was appointed to replace him. Ivgalvez/Ivan had to  leave because he had to relocate himself and his family from one country  to another. Tim left shortly after Ivan due to reasons that would take  longer to explain than appropriate for this footnote, but which can be  found <a href="http://www.mwkn.net/2013/10/front.html" target="_blank">here</a>.  Woody and Jim were appointed to replace Ivan and Tim respectively.<br /><br /> [2] <a href="http://talk.maemo.org/showthread.php?t=89387" target="_blank">Thread</a> where Council solicited Community opinion on  the matter of Board re-election. Also <a href="http://talk.maemo.org/showthread.php?t=89438" target="_blank">here</a>,  where both Jim and Woody (two of the current three Board members)  indicate support for reelection. Also, a few of the Community members who come to the Council  meetings on IRC have indicated a desire to see a re-election happen for  several meetings now.<br /><br /> [3] We still do not have a final contract signed with Nokia, but that  should not in itself be hindered by a reelection, because the next Board  can sign the contract just as easily, and we are starting to suspect  they'll get it done faster.<br /><br /> [4] §X ¶2 (¶3 if you count the separated-by-pagebreak paragraph as two)  of the Hildon foundation bylaws. (The Board can also trigger an election  of both bodies, but that's beside the point.)<br /><br /> [5] There was some disagreement (from one current Board member that we  know of) whether this Council officially counts as the Hildon Foundation  that the Bylaws refer to previous Council. The alternative would be  that the election for electing a Council and the first Hildon Foundation  Board members at the same time did not mean for the Council to be the  Hildon Foundation Council. This, to be frank, is clearly not what any  member of the Community would expect, since the Council was written in  to the Hildon Foundation Bylaws as a way to formally include the already  existing Council for communication with Nokia into the new,  Nokia-independent framework. Nor is it what was intended by the person  mainly responsible for writing the bylaws (Woody, who is currently  another member of the Board). Finally, if the Hildon Foundation Council  is not the current Maemo Community Council, then A. the Board has failed  to appoint or call for the elections of a Hildon Foundation Council for  6 months, and B. this makes no logical sense because the election  criteria for the Hildon Foundation are determined by the Hildon  Foundation Council according to the bylaws. So if a Council wasn't  intended to be initiated at the same time as Hildon Foundation Board  was, how is Hildon Foundation supposed to execute an election of either  the next Board or a Council, if there is no Council to set the election  eligibility criteria?<br /><br /> [6] We only ever had 3 Directors. The bylaws state that the Board can  spend at most seven days in a row with less than 3 directors, else an  election has to happen. §IV ¶6 (¶7 if you count the paragraph split into  two pages two paragraphs) of the Hildon Foundation bylaws. This has  occured. <a href="http://talk.maemo.org/showpost.php?p=1329067&amp;postcount=34" target="_blank">This</a> post counts the dates and times of official  (in-writing) resignations and acceptance-of-assignment statements of  Directors. </ul><p><strong>Topic  (Infrastructure</strong><strong>):</strong></p>
<ul><li> Nokia agreed to pay for everything except TMO for two months while  the preparations for a transition are ongoing.</li>
<li>TMO, however, has  no such provision, and is thus fairly urgent.</li>
<li>TMO will be  needing an administrator in the near future.</li>
<li>It is looking  likely that the Foundation will have to hire a professional sysadmin at  some point, if there is no sufficiently skilled volunteer.</li>
<li>We  had a significant debate about what the better course of action was  (note: infrastructure decisions are decided by Board, not Council, so  this has only indirect influence on policy, if any).</li>
<li>The  disagreement largely boils down to whether the hosting of<a href="http://talk.maemo.org/" target="_blank"> talk.maemo.org</a> forums and the  other <a href="../../../../" target="_blank">maemo.org</a> website needs to be on one server,  and more importantly, how soon should the servers be consolidated.</li>
<li>It  is also partly informed by a claim made that the laws of the US (where  TMO is currently hosted) would require us to notify and/or get the  agreement of all TMO members before the forum could be relocated to the  EU.</li>
<li>The details of the discussion can be seen in the IRC log, linked above, but were not included in the minutes for brevity.</li>

<p>This post contains the meeting minutes for both the 2012-11-30 and the 2012-12-07 meetings. As the person responsible for preparing these minutes and posting them in a timely manner, I apologize to the community for falling behind on them these last two weeks. It is worth noting that since these meetings took place, there has been discussion on the TMO infrastructure topic, both internally and visibly to the community through Board posts, and probably to some extent forum discussion. So the bullets regarding TMO infrastructure issues do not necessarily reflect the latest information by any means.</p>

<li>DocScrutinizer intended to talk to Reggie about this some more, in part to see what Reggie's reason for doing this is, in case it was due to some lost-in-translation issues. </li>

<li> Thus, DocScrutinizer cannot proceed with the cloak/permissions changes request until ivgalvez has registered his IRC nick.</li>

<p><strong>Topic 2 (Infrastructure):</strong></p>
<ul><li> Wiki (still) has edit error.The error comes from /usr/share/mediawiki/includes/EditPage.php</li>
<li>Thus, Council decided to request that X-Fade publishes that, and perhaps other *.php files, or the entire /usr/share/mediawiki/includes* subdirectory, excluding any secret/sensitive files, to <a href="http://maemo.org" target="_blank">maemo.org</a>, so that the community could take a look at them and perhaps someone could figure out where the error is coming from.</li>
</ul><div id="user_content_:wc"><strong>Topic 3 (CC Devices Situation):</strong><br /><br /> (Note: DocScrutinizer did not actively participate in this topic)<br /><ul><li> qwazix sent e-mail to the contact that sent the DHL tracking information for the CC devices, to ask about the two CC devices that have not yet been delivered. He has not received a response yet.</li>
<li> Recipient of the slightly malfunctioning N950 has sent e-mail to the same person, but has not followed up since then.</li>
<li> There is another contact that handled the previous wave(s) of device giveaways, it was decided to try them next, after a full week of no reply has elapsed.</li>

</ul><strong>IRC Cloaks:</strong><br /><ul><li> DocScrutinizer will just make a blanket request to set all current IRC "maemo/community/council*" cloaks to "maemo/community/contributor", before giving the new councilors council cloaks - to make sure there's no straggler "council" cloaks left.</li>
<li> Anyone wishing to keep a "maemo/community/council" cloak for some reason even though they are not a current council member, may contact the council explaining their reasons, to have their case considered.</li>
</ul><strong>Action Items:</strong><br /><ul><li> qwazix will send ivgalvez an e-mail to request that he register his FreeNode IRC nick.</li>

<ul><li> Qwazix brought up that a receiver of a coding competition N950 had an issue with a portion of the screen being dead to touch.</li>
<li> Decided that first step is to see if receiver of the device got an e-mail confirmation with a contact address.</li>
<li> If they never got an e-mail confirmation or that contact doesn't work, qwazix will provide them with the contact e-mails other council members have to try.</li>
<li> Aside from that it's outside of Council's power.</li>
</ul><p><br /><strong>Topic 3 (Board Update):</strong><br /><br /></p>
<ul><li> ivgalvez delivered an update from the Board meeting, particularly on the topic of the Board selecting admins, and their liability.</li>
<li> It was noted that no formal contract is necessary, that accepting an appointment from the Board constitutes a verbal contract under the relevant not-for-profit law.</li>
<li> Board will have an officer appointed to be the official administrator, but this "officer" can be either an individual or a group (such as the whole Council).</li>
<li> This administrator is not necessarily the most technically knowledgeable or the one doing the bulk of the administration, but rather is to hold the root passwords, grant/revoke access as necessary, and coordinate the "real" admins.</li>
<li> DocScrutinizer was nominated for that position by the Council.</li>
<li> ivgalvez will take this nomination to the Board at the next Board meeting.</li>

            <title>Open Letter from the Hildon Foundation Board to the Maemo Community</title>

<p>Dear Maemo Community,<br /><br /> As long-time supporters and contributors -- and, in all humility, quite<br /> honored to be counted among all of you -- we, the inaugural Hildon<br /> Foundation Board felt it necessary that we put forth an open, public<br /> statement about how we feel the "Board" should be considered and engaged<br /> with.<br /><br /> At this point, the first Board meeting minutes have been published for<br /> public review. As we hope you'll see, it is nothing but the Maemo<br /> Community's best interests that we are concerned with. In fact, the<br /> entire reason for the Hildon Foundation to exist is so that the<br /> community may continue with as few interruptions as possible. So, as<br /> you read on, please keep this in mind.<br /><br /> A little history first...<br /><br /> Sometime in 2007 this community reached a tipping point. There were many<br /> active users, new devices, new code, and a lot of questions pertaining<br /> to the future of the <a href="http://maemo.org" target="_blank">maemo.org</a> website and the community's relationship<br /> with Nokia. Because of this, the idea to create a "community council" as<br /> a way of fielding community issues and communicating them with Nokia was<br /> proposed. Those of you who have been a part of this community for a<br /> while will remember that the idea was widely agreed upon and the Maemo<br /> Community Council was born.<br /><br /> This new entity, while totally unpaid and volunteer, ended up being an<br /> amazingly efficient conduit between community matters and those at Nokia<br /> who considered Maemo their charge. Both the community and Nokia<br /> flourished because of this relational reorganization.<br /><br /> Fast-forward to the present...<br /><br /> Nokia is leaving the scene (figuratively, of course, as we hope that the<br /> community still sees some Nokia faces here and there); the community is<br /> in a bit of an identity crisis; the Council and Foundation Board<br /> elections are rife with issues... The list could go on. But, regardless<br /> of these problems, we now have a new phase of community life to forge.<br /><br /> Because of this, it is necessary to reevaluate how the community<br /> operates and who is responsible for its continued operations.<br /><br /> Today's Maemo Community Council...<br /><br /> Thankfully, the new Maemo Community Council is made up of very dedicated<br /> and trustworthy folks. And, as it has been since the Council's</p>
<div class="im">inception, these are the people who will directly fend for the daily<br /> life of our community. It is with gratitude that our community should<br /> receive this new Council. Treat them respectfully and always give them<br /> the benefit of the doubt. They are our dedicated and faithful guides.<br /><br /> The Hildon Foundation...<br /><br /> The Hildon Foundation and, specifically, the Foundation Board should be<br /> viewed in quite a different light, though. It is the Hildon Foundation<br /> that will oversee the transition of the Maemo Community away from Nokia</div>
<p>and into the hands of the community. Of course, the Foundation is also<br /> very concerned with ongoing development within both the Mer and Nemo<br /> projects, so facilitating their future is also quite important.</p>
<div class="im">It is the Hildon Foundation that will administer such things as<br /> community infrastructure, managing money needed to continue the<br /> community, and general oversight of features and functionality in and</div>
<p>around the strata of the community. Understand that it is the<br /> "Foundation Board" -- regardless of the individuals who actually occupy<br /> the roles within -- who accept and administer responsibilities.<img class="ajT" src="https://mail.google.com/mail/u/0/images/cleardot.gif" border="0" alt="cleardot.gif" /></p>
<p>Because of this, it is the current Board's opinion that the relational<br /> dynamic between the community, the Council, and the Board should remain<br /> very similar to how they existed between the community, the Council, and<br /> Nokia in past years. And, because of this, it is the Boards opinion<br /> that the community should continue to communicate directly with the<br /> Council, and not necessarily with the Board. (Hence, discussion forums<br /> such as "Ask the Board" are quite inappropriate for these purposes as<br /> they never existed between the community and Nokia.)<br /><br /> In Conclusion...<br /><br /> All of this being said, the Hildon Foundation Board will make every<br /> attempt to run "business" in an open source manner. We will publish as<br /> much of our meeting minutes as possible without violating any non<br /> disclosure agreements. Likewise, we will make every attempt to respond<br /> to community communication via the Maemo Community Council, especially<br /> those things that pertain to community infrastructure and daily<br /> operations.             <title>Meet the new (Q4 2012) Maemo Community Council!</title>

            <description><![CDATA[<div class="abstract">Based on historic review, the following seems to be the only viable option for this process.</div>

<p>After confirming with the <a href="http://wiki.maemo.org/Community_Council/Election_process">election rules</a>, and <a href="http://maemo.org/community/council/meet_the_new-q1_2011-maemo_community_council/">historic precedent</a>, the case for five <a href="http://wiki.maemo.org/Community_Council">Maemo Community Council</a> candidates seems to be very clear.  The case for five is a "no election"  scenario, granting the candidates full Council-ship.</p>
<p>This being said, it brings me great pleasure to announce the new, Q4 2012 Maemo Community Council:</p>

<p>Remember,  the position of Community Council member is completely   voluntary and  unpaid. These fine people are serving you, the Maemo   Community, in their  free time, out of the goodness of their hearts and a   passion for what  Maemo is and means.</p>

Historically, Council's role has been limited to representing developers  on, and users of, maemo.org to Nokia (and vice versa). Examples of  council activity can be found on the <a href="http://wiki.maemo.org/Community_Council" target="_blank">Council homepage</a> or in the <a href="http://maemo.org/community/council/" target="_blank">blog</a>.   The role of Council will continue to be as it was before, as a group  to work with the Community, and act as a focal point for communication  with group in charge of services needed by the community to continue,  whomever that turns out to be.<br /><br /><strong>BOARD MEMBERS</strong>- Due to Nokia's state, its funding for maemo.org in  2013 is uncertain.  The community is working on bylaws for a new legal  entity (currently with the working title “Hildon Foundation”) that can  legally inherit the domain name or have donations (monetary, hardware  and/or data) from Nokia, the current providers, and community members,  which can be used to continue operation of resources vital to the  community.  The bylaws are <a href="http://talk.maemo.org/showthread.php?t=86290" target="_blank">currently in discussion</a>,  and will be formalized shortly. The initial Board for the Foundation  will be elected parallel to, and with the same election rules and  requirements as, those currently established for Council elections.   It  is expected that the Board elected for this new entity will adopt the  community's desired bylaws and be ready to take the reigns as soon as  the entity is ready for operation.<br /><br /><strong>How does the vote work?</strong><br /><br /> Each member of maemo.org, who has an account that is more than 3 months  old and who has earned over 10 "karma" points on that account, gets an  electronic ballot.  This <a href="http://wiki.maemo.org/Community_Council/Election_process" target="_blank">election</a> ballot is a pair of "single transferrable votes". Voters will rank  their Council candidates in order of preference; understanding that if  their top candidate cannot get elected with the votes they receive, the  votes are redistributed by rank order until all five seats have been  allocated.   They will then be able to vote for Board members in the  same manner as the Council election above, with the list of candidates  running for that body.<br /><br /><strong>What's next?<br /></strong><br /> Community members should be considering whether they want to stand for  Council, the Board, or possibly for both.  Anyone who has karma of over  100 is eligible to stand, including employees and sub-contractors of  Nokia.  When nominations open, you can nominate someone via an email to  the <a href="https://lists.maemo.org/mailman/listinfo/maemo-community" target="_blank">maemo-community mailing list</a> (which they must reply to and accept in order to be considered a  candidate) or you can put your own hat into the ring by emailing the  same list indicating such.<br /><br /> To be clear, candidates may choose to run for the Board, for Council, or  for both bodies.  Elections will be held at the same time, but each  body will be voted on and tabulated completely separately.  If a single  candidate runs for both positions, they will appear in both ballot  lists.  At no point will vote tallies flow from one election source into  the other.<br /><br /><span style="color:#FF0000;"><strong>Update Oct-2:</strong></span><br /><br /> The <a href="http://wiki.maemo.org/Community_Council/Council_election_September_2012/Candidate_declarations" target="_blank">list of nominees</a> is complete, with one nominee pending Karma recalculation.  Please  review the list, and feel free to ask questions either here, on the  mailing list, or on the wiki page.  All candidates will be encouraged to  answer community questions, preferably in a format that can be easily  wiki-fied.<br /><br /> Just as a reminder, those that want to vote should be sure they have 10  Karma.  Note that in order for your TMO activity to count, you must <a href="http://wiki.maemo.org/Link_talk.maemo.org_account_with_maemo.org_profile" target="_blank">link your TMO account to your Maemo.org account</a>.  Be sure to do that if you have not done so already!</p>

<h3><strong>Summary:</strong></h3>
<h4>## Transference of administration to volunteers.</h4>
<p>Merlin1991 was granted with some administrative rights on  repositories  (delete and promote applications), however it's not yet  working  correctly. X-Fade will dig into it.<br /> We have also requested to  add more administration permissions and more  people to the working  group. Next meeting will take place at same time  next week.</p>
<h4>## Current needs for voting system</h4>
<p>- Council elections might take place beginning October, we'll need X-Fade support to setup voting process.<br />-   By-laws approval might take place beginning October at the same time   than Council election, we'll need X-Fade support to setup voting   process.<br /> - Coding Competition will need voting mechanism by mid September, we'll need X-Fade support to setup voting process.</p>
<h4>## Situation of servers and contracts</h4>
<p>- Council will talk to Henri, from Nemein, to know the required budget for hosting Maemo services.</p>
<p>-  New Council, if by laws are approved should decide about keeping   servers with Nemein by end October, so a proper decision about   continuing with Nemein will be ready beginning November.</p>
<p>- Servers  are paid by Nokia until the end of December so contract could  be  transferred to legal entity in the beginning of November.</p>
<p>- If decided, migration could begin in November, to avoid getting too close to December and holidays.</p>

<p>SD69 have updated bylaws document in order to publish it for community feedback. It is published here in full, for community members review, feedback and final acceptance.</p>
<p><br />This issue is blocker for several actions, including:<br />- Elections for next Council/Board of Directors, we'd like to use one single voting for both elections and Bylaws approval<br />- Legal entity, that will took place after elections.</p>
<p>It is by all means not a final document, and only a suggestion from the current Council for establising a legal entity to continue the Maemo society.</p>
<p>Therefore the feedback after review is necessary from community members and a final acceptance of the community is needed in order to establish a legal entity to be responsible for carrying out the Maemo.org infrastructure.</p>

<div><strong>## Topic 2: Infrastructure migration issues</strong></div>
<div>Woody14619 commented during last Council Meeting that merlin1991 had finally  obtained the administrative rights to repositories but something wasn't  working correctly in the web interface.</div>
<div>merlin1991 is right  now on holidays so it's unclear what's the status about this issuem. In  the meantime. ivgalvez has sent a few emails to both X-Fade and  merlin1991.</div>

<div><strong>## Topic 3: CSSU support and issues</strong></div>
<div>A new CSSU Testing release is planned for this week.</div>
<div>A  new version of CSSU enabler is now in devel (should by in Testing by  next week) and is candidate to land in Extras to allow users to install  CSSU via HAM without the need to enter TMO.</div>
<div>ivgalvez has asked via ML for the conclusions from last CSSU meeting and also proposed to keep fixed scheduled meetings.</div>]]></description>
